These Terms of Use (“Terms”) govern your use of the StandOn website (the “Website”). Please read them carefully before using the Website.

1. Who we are

The Website is operated by Tiberius Capital Technologies Limited (“we”, “us” or “our”), a company registered in England and Wales under company number 17452927, whose registered office is at 3b Rosemary House, Kentford, Newmarket CB8 7PN.

StandOn is a product and trading name of Tiberius Capital Technologies Limited.

2. About these Terms

By accessing or using the Website, you agree to these Terms.

If you do not agree to these Terms, you should not use the Website.

These Terms apply to the Website only. Separate terms may apply to your download or use of the StandOn app, including any account, subscription or paid services offered through it.

3. About StandOn

StandOn is a sailing theory learning and revision product.

The Website provides information about StandOn and may allow you to:

  • learn about StandOn and its features;
  • view information about current and planned learning content;
  • follow links to download the StandOn app through third-party app stores;
  • contact us; and
  • register interest in working or partnering with StandOn on behalf of a sailing school, training centre or other organisation.

We may add, remove or change Website functionality from time to time.

4. Educational purposes only

StandOn is intended to support learning and revision.

Content made available through the Website is provided for general informational and educational purposes only.

StandOn does not provide real-time navigational, collision-avoidance, safety, operational or professional advice and must not be used as such.

The Website and its content are not a substitute for:

  • appropriate practical training and professional instruction;
  • official charts, publications and navigational information;
  • applicable legislation, regulations and rules;
  • notices, warnings and safety information;
  • instructions or guidance issued by relevant authorities; or
  • the exercise of proper seamanship, situational awareness and independent judgement.

You remain responsible for obtaining appropriate training and current official information and for making safe decisions when operating, commanding, navigating or travelling on a vessel.

You should never rely on StandOn as your sole source of information when making a navigational, collision-avoidance, safety or operational decision.

5. Accuracy and currency of information

We take reasonable care when preparing StandOn content. However, sailing rules, regulations, syllabuses, guidance, standards and other source materials may change.

To the fullest extent permitted by law, we do not warrant or guarantee that Website content is at all times complete, accurate, current, suitable for a particular purpose or free from errors or omissions.

We may correct, update, replace or remove content at any time.

Where current or authoritative information is required, you are responsible for consulting the relevant official source.

6. No guarantee of examination or learning outcomes

StandOn is a revision aid.

We do not warrant or guarantee that use of StandOn will result in you passing any examination, course, assessment or qualification, or achieving any particular learning outcome.

Any score, progress indicator, performance measure or learning insight described or provided by StandOn is intended as a learning aid only.

It does not constitute a formal qualification, examination result, certification or representation that a person is competent to command, navigate or operate a vessel.

7. Third-party organisations and qualifications

The Website may refer to sailing organisations, qualifications, examinations, courses, syllabuses, standards, regulations or publications.

Unless we expressly state otherwise, such references are provided for informational purposes only and do not mean that StandOn or Tiberius Capital Technologies Limited is affiliated with, sponsored by, endorsed by, accredited by or approved by the organisation concerned.

Third-party names, trade marks, logos and other intellectual property belong to their respective owners.

8. App stores and third-party services

The Website may contain links to the Apple App Store or other websites, platforms and services operated by third parties.

We do not control those services and are not responsible for their availability, content, security, operation or privacy practices.

Your use of a third-party service is subject to the terms and policies of the relevant provider.

The StandOn app may also be subject to separate StandOn App Terms, subscription terms and privacy information.

9. Planned and “coming soon” features

The Website may refer to features, subjects, content, functionality or services that are planned, in development or described as “coming soon”.

Such information is indicative only.

We may change, delay or withdraw planned features, content, functionality or release dates at any time.

Nothing on the Website constitutes a commitment or guarantee that a proposed feature, subject or service will be released, or that it will be released by a particular date.

10. Sailing school and partnership enquiries

The Website may allow sailing schools, instructors, training centres and other organisations to register their interest in working or partnering with StandOn.

Submitting an enquiry or expression of interest:

  • does not constitute an offer capable of acceptance;
  • does not create a contract;
  • does not establish a partnership, agency, joint venture or other commercial relationship;
  • does not oblige us to enter into negotiations or discussions; and
  • does not guarantee acceptance into any current or future StandOn partnership programme.

Any partnership, referral, licensing or other commercial arrangement will be subject to separate terms agreed between the relevant parties.

If you submit information on behalf of an organisation, you confirm that you are authorised to do so and that, to the best of your knowledge, the information you provide is accurate.

11. Intellectual property

Unless otherwise stated, the Website and original content made available through it are owned by or licensed to Tiberius Capital Technologies Limited and are protected by applicable intellectual property laws.

This may include the StandOn name and branding, Website copy, original questions, explanations, educational materials, illustrations, graphics, designs, software and other original content.

You may access the Website for lawful personal and non-commercial purposes.

Unless permitted by law or we have given you prior written permission, you must not:

  • reproduce, republish or distribute a substantial part of our Website or proprietary content;
  • commercially exploit our content;
  • copy or reproduce our original questions, explanations, illustrations or other proprietary learning materials for use in another product or service;
  • systematically scrape, harvest, extract or collect Website content or data;
  • remove copyright, trade mark or other proprietary notices;
  • present our proprietary content as your own; or
  • use our name, branding or materials in a way that falsely suggests affiliation, approval, endorsement or partnership.

  • that use of StandOn will achieve any particular learning, examination or qualification outcome;
  • that Website content is suitable for a particular navigational, safety or operational purpose;
  • that the Website will be compatible with every device, browser or third-party service; or
  • that every change to a rule, regulation, syllabus, standard or third-party publication will immediately be reflected in StandOn.

15. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful for us to do so.

In particular, nothing excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to those limitations and to the fullest extent permitted by law, we will not be liable for loss or damage arising from:

  • reliance on Website content as a substitute for proper seamanship, professional instruction, official publications, navigational information, safety information, applicable rules or regulations, or independent judgement;
  • a navigational, collision-avoidance, safety or operational decision made using Website content;
  • failure to achieve a particular examination, qualification, assessment or learning outcome;
  • inaccuracies, omissions or outdated information in Website content;
  • temporary or permanent unavailability of the Website;
  • third-party websites, app stores, platforms or services that we do not control; or
  • circumstances outside our reasonable control.

If you use the Website for business purposes, then, to the fullest extent permitted by law, we will not be liable for any loss of profit, revenue, sales, business, anticipated savings, business opportunity, goodwill or reputation, or for any indirect or consequential loss.

If you are a consumer, nothing in these Terms affects your statutory rights.

We process personal information in accordance with our Privacy Policy.

If you submit information through a Website form, please review our Privacy Policy for information about how we use and protect that information.

17. Changes to these Terms

We may amend these Terms from time to time as required, including to reflect changes to StandOn, the Website, our business, technology, applicable law or regulatory requirements.

The version published on the Website will be the current version and will show the date on which it was last updated.

Changes will apply to your use of the Website from the effective date of the updated Terms.

Where applicable law requires us to provide additional notice of a change, we will do so.

18. General

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue in effect.

If we delay or fail to enforce any provision of these Terms, that does not mean we have waived our right to enforce it later.

Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and us.

19. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may have additional mandatory rights under the laws of the country or part of the United Kingdom in which you live, and nothing in these Terms affects those rights.

If you are a consumer resident in England or Wales, the courts of England and Wales will have jurisdiction. If you live elsewhere, you may also be entitled to bring proceedings in the courts where you live.

If you use the Website for business purposes, the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Website.
